1. Acceptance of Terms

By accessing or using Orqis ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including free and paid plan subscribers.

2. Description of Service

Orqis is a platform that allows users to convert OpenAPI specifications into AI-powered agents. The Service includes an agent builder, playground, dashboard, and API access. Features vary by plan. Some features may be in beta and are provided without guarantees of stability, accuracy, or continued availability.

3. Accounts

You must create an account to use most features. You are responsible for:

• ›Maintaining the confidentiality of your credentials
• ›All activity that occurs under your account
• ›Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree not to use Orqis to:

• ›Violate any applicable law or regulation
• ›Transmit malicious code or interfere with the Service
• ›Attempt to gain unauthorized access to any system
• ›Use the Service to build agents that harm, deceive, or defraud others
• ›Reverse engineer or scrape the platform

5. API Keys & Credentials

You are solely responsible for any third-party API keys or credentials you provide to the Service. Orqis does not store API keys in plaintext and is not liable for any misuse of credentials you supply.

6. Billing & Plans

Paid plans are billed through Stripe. By subscribing, you agree to Stripe's terms of service. All payments are non-refundable except where required by law or explicitly stated otherwise. Orqis reserves the right to:

• ›Change plan pricing with 30 days notice
• ›Suspend accounts with overdue payments

7. Intellectual Property

Orqis and its original content, features, and functionality are owned by Orqis and are protected by applicable intellectual property laws. You retain ownership of any API specs, configurations, or data you bring to the platform.

8. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. Orqis does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not guarantee uptime, availability, or performance of the Service.

9. AI & Agent Behavior Disclaimer

Orqis uses AI systems to generate responses and execute actions. You acknowledge that:

• ›AI outputs may be inaccurate, incomplete, or inappropriate — you are solely responsible for reviewing and validating any actions or outputs generated by agents before relying on them
• ›You are solely responsible for any actions performed by agents created or deployed using the Service
• ›Orqis does not guarantee the correctness, safety, or suitability of any agent output for any purpose

10. Third-Party APIs

Orqis integrates with third-party AI providers (including OpenAI and Google Gemini) and allows you to connect your own APIs. Orqis is not responsible for the availability, performance, or accuracy of any third-party APIs, including any errors or failures resulting from their use. Your use of third-party services is governed by their respective terms.

11. Usage Limits

We reserve the right to impose usage limits, rate limits, or restrictions to ensure fair use and platform stability. Excessive or abusive usage may result in temporary or permanent restrictions on your account without prior notice.

12. Limitation of Liability

To the fullest extent permitted by law, Orqis shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including damages resulting from agent actions, third-party API failures, or AI-generated outputs.

13. Indemnification

You agree to indemnify and hold harmless Orqis, its affiliates, and their respective officers, directors, and employees from any claims, damages, losses, or liabilities (including legal fees) arising from your use of the Service, your violation of these terms, or any actions performed by agents you create or deploy.

14. Service Modifications

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes. Orqis shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

15. Termination

We reserve the right to suspend or terminate your account at any time for violations of these terms. You may delete your account at any time from the dashboard settings.

16. Changes to Terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance. We will notify users of material changes by email.
